Terms of Service

These Terms of Service ("Terms") govern your access to and use of the eGiiG Agency Suite platform, including the website at https://egiig.com, the application at https://apps.egiig.com, the browser extension, and all related services (collectively, the "Service") operated by eGiiG ("we," "us," "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account Registration

1.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By registering, you represent that you meet these requirements.

1.2 Account Responsibility

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must provide accurate, current, and complete information during registration
  • You agree to promptly notify us of any unauthorized use of your account

1.3 Team Accounts

If you invite team members to your account, you are responsible for their actions on the platform. You must ensure all team members comply with these Terms.

2. Description of Service

eGiiG is an all-in-one agency management platform that provides:

  • LinkedIn Automation: AI-powered outreach campaigns, connection requests, follow-up messages, and auto-replies executed via browser extension and cloud-based execution
  • Local Leads: Business discovery and gap analysis for prospecting
  • Ad Account Management: Integration with Google Ads, Meta/Facebook Ads, TikTok Ads, Microsoft Advertising, and LinkedIn Ads via official OAuth APIs
  • SEO Suite: Website audits, keyword tracking, backlink monitoring, and competitor analysis
  • Client Management: CRM, onboarding, communication tools, and client portal
  • Campaign Hub: Multi-channel campaign orchestration
  • AI Chatbots: Customizable chatbot builder for client websites
  • Social Planner: Multi-platform social media scheduling
  • Email Marketing: Campaign creation, automation, and analytics
  • Reputation Management: Review monitoring and response management
  • Proposals and Invoicing: Document creation, sending, and payment processing via Stripe
  • Services Catalog: Service package creation and client purchasing
  • Reporting: Branded, white-labeled reporting for client deliverables
  • White Label: Custom branding, custom domain, and reselling capabilities

3. Subscription Plans and Billing

3.1 Plans

We offer the following plans:

  • Freelancer Plan: $19.99/month
  • Agency Plan: $49.99/month
  • Lifetime Deal: $399.99 one-time payment

All plans include a 14-day free trial. No credit card is required for the trial.

3.2 Billing

  • Monthly plans are billed on a recurring basis on the anniversary of your subscription start date
  • Lifetime deals are a one-time payment granting perpetual access to the Service
  • All prices are in US Dollars (USD)
  • Payments are processed securely by Stripe, Inc.

3.3 Cancellation and Refunds

  • You may cancel your subscription at any time from your dashboard
  • Cancellation takes effect at the end of the current billing period
  • We do not provide prorated refunds for partial months
  • Lifetime deals are non-refundable after 30 days from purchase
  • Within the first 30 days, lifetime deal purchases may be refunded upon request

3.4 Price Changes

We reserve the right to change pricing with 30 days' advance notice. Price changes do not affect existing lifetime deal holders.

4. Acceptable Use

4.1 You Agree To:

  • Use the Service in compliance with all applicable laws and regulations
  • Use the Service in compliance with LinkedIn's User Agreement and Professional Community Policies
  • Use the Service in compliance with Google, Meta, TikTok, Microsoft, and LinkedIn advertising platform terms
  • Maintain honest and accurate information in your campaigns and communications
  • Respect the daily limits and safety features built into the platform
  • Obtain necessary consent before adding prospects to campaigns
  • Provide accurate business information in proposals and invoices

4.2 You Agree NOT To:

  • Use the Service for spam, harassment, or unsolicited bulk messaging
  • Violate LinkedIn's Terms of Service or any connected platform's terms of service
  • Create fake or misleading LinkedIn profiles or ad accounts
  • Exceed LinkedIn's published connection request or messaging limits
  • Use the Service to collect or scrape personal data for purposes other than legitimate business outreach
  • Attempt to circumvent platform safety limits or rate restrictions
  • Share your account credentials with unauthorized parties
  • Use the Service for any illegal, fraudulent, or deceptive purpose
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated tools to access the Service in violation of our API rate limits
  • Resell the Service (except under a white-label plan)
  • Interfere with or disrupt the integrity or performance of the Service

4.3 LinkedIn Automation Specific Terms

  • You acknowledge that LinkedIn may restrict or suspend accounts that engage in automated activity
  • You are solely responsible for the LinkedIn accounts you connect to the Service
  • We provide tools for rate limiting, warmup, and daily limits to help protect your accounts, but we cannot guarantee immunity from LinkedIn enforcement actions
  • You must have legitimate authorization to use each LinkedIn account you connect
  • You are responsible for the content of all messages sent through the Service, including AI-generated content

4.4 Advertising Platform Terms

  • You must have legitimate authorization to access and manage each connected ad account
  • You must comply with the advertising policies of each platform (Google Ads Policies, Meta Advertising Standards, TikTok Advertising Policies)
  • We do not guarantee the performance or approval of any advertising campaign
  • You are responsible for advertising content compliance with applicable laws

5. AI-Powered Features

5.1 AI Content Generation

  • Our AI features (connection notes, auto-replies, proposal content, chatbot responses) generate content using third-party AI providers
  • AI-generated content is a suggestion and you are responsible for reviewing and approving all content before it is sent
  • The "auto-send" feature sends AI-generated replies without manual approval. By enabling this feature, you accept full responsibility for the content sent.
  • We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content

5.2 AI Training Profiles

  • AI training profiles you create (agency name, services, tone, USP, etc.) are stored on our servers and used solely to personalize AI outputs for your campaigns
  • Training data is not shared with other users
  • AI providers may process your training data during content generation but do not retain it beyond the API call

6. Browser Extension

6.1 Permissions

The eGiiG browser extension requires the following Chrome permissions:

  • Storage: To save your connection settings and preferences
  • Cookies: To read LinkedIn session cookies for API authentication
  • Alarms: To schedule periodic polling for pending actions
  • Tabs: To navigate to prospect profiles for campaign execution
  • Host access (linkedin.com): To execute campaign actions on LinkedIn
  • Host access (api.egiig.com): To communicate with our platform servers

6.2 Extension Behavior

  • The extension polls our server for pending campaign actions
  • When actions are pending, the extension navigates a pinned LinkedIn tab to execute them
  • The extension reads LinkedIn cookies to authenticate API requests
  • The extension sends session cookies to our server to enable cloud-based execution when your browser is closed
  • You may uninstall the extension at any time to stop all automated activity

7. Cloud Execution and Proxy

7.1 Cloud Mode

  • When your browser is closed, our servers may execute pending campaign actions using your stored LinkedIn session cookies
  • Cloud execution is routed through residential proxy services to protect your account
  • You may configure proxy settings through the platform dashboard
  • Cloud execution respects the same daily limits and safety settings as browser-based execution

7.2 Proxy Usage

  • Residential proxy services are used to route LinkedIn API requests through residential IP addresses
  • Proxy providers do not have access to your LinkedIn data — only the HTTP connection is routed
  • You may use the platform's global proxy or configure your own proxy

8. White Label

8.1 White-Label Rights

  • Lifetime and Agency plan subscribers may white-label the platform with their own branding
  • White-labeling includes: custom logo, custom colors, custom domain, and removal of eGiiG branding
  • You may resell the white-labeled platform to your clients
  • You are responsible for your own terms of service and privacy policy when reselling

8.2 Restrictions

  • You may not claim ownership of the underlying technology
  • You may not sublicense the platform's source code
  • White-label access may be revoked for violation of these Terms

9. Intellectual Property

9.1 Our Property

The Service, including its design, code, features, and documentation, is owned by eGiiG and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

9.2 Your Content

You retain ownership of all content you create or upload to the Service (campaigns, proposals, invoices, reports, client data). By using the Service, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Service.

9.3 Feedback

If you provide suggestions or feedback about the Service, we may use it to improve the Service without obligation to you.

10. Disclaimers

10.1 Service Provided "As-Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Results

  • We do not guarantee any specific results from using the Service
  • We do not guarantee that LinkedIn, Google, Meta, TikTok, or any other platform will not restrict or suspend your accounts
  • We do not guarantee the deliverability or effectiveness of messages, campaigns, or advertisements
  • We do not guarantee uptime or availability of the Service, though we strive for high reliability

10.3 Third-Party Platforms

  • We are not affiliated with LinkedIn, Google, Meta, TikTok, or Microsoft
  • Changes to third-party platform APIs or terms may affect Service functionality
  • We are not responsible for actions taken by third-party platforms against your accounts

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGIIG SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of revenue, profits, business, data, or goodwill
  • LinkedIn, Google, Meta, TikTok, or any other platform account restrictions or suspensions resulting from use of the Service
  • Errors in AI-generated content
  • Third-party service outages or API changes

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless eGiiG, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party platform's terms of service
  • Content you create, send, or publish through the Service
  • Your clients' use of the Service through your white-label instance

13. Termination

13.1 By You

You may terminate your account at any time by canceling your subscription and requesting account deletion.

13.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees
  • Abuse the Service in a manner that affects other users

13.3 Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • Your data will be retained for 30 days, after which it will be permanently deleted
  • You remain responsible for any outstanding payments

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles.

14.2 Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, USA, or remotely at the arbitrator's discretion.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

15. Data Processing Agreement (DPA)

For users who require a Data Processing Agreement under GDPR or similar regulations, please contact us at privacy@egiig.com to execute a DPA.

16. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and eGiiG regarding the Service.
